These Terms and Conditions (“Terms”) govern your access to and use of Sophos Notes, doing business as Sophos Notes, including PhilippineLawReviewers.com, the Barrister Portal, our flowcharts, and all related current and future digital products, memberships, subscriptions, downloads, dashboards, tools, content, and services we make available (collectively, the “Services”).
By accessing, browsing, registering for, purchasing, downloading, logging into, or otherwise using any part of the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and any specific guidelines, notices, policies, or rules that may apply to a particular feature, product, membership, purchase, or offer.
If you do not agree to these Terms, you must not access, register for, purchase, download, or use the Services.
1. Definitions
For purposes of these Terms:
- “Company,” “we,” “us,” or “our” refers to Sophos Notes, doing business as Sophos Notes.
- “User,” “you,” or “your” refers to any visitor, account holder, member, subscriber, customer, purchaser, or other person who accesses or uses the Services.
- “Barrister Portal” refers to our online portal, dashboard, member pages, study tools, and related digital features.
- “Flowcharts” refers to our downloadable or digitally accessible flowcharts, visual study materials, summaries, diagrams, and related content.
- “Membership” refers to any free trial, paid plan, subscription, access level, or similar account-based offering.
- “Protected Content” refers to any page, material, file, feature, or content that requires login, registration, payment, or a specific access level.
- “Content” refers to text, graphics, diagrams, files, downloads, layouts, branding, images, videos, audio, code, and all other material made available through the Services.
- “Help Center” refers to our official support and information page at https://philippinelawreviewers.com/help-center/.
2. Nature of the Services
The Services currently include digital educational, legal-review, organizational, and study-support offerings, including the Barrister Portal and flowcharts. The Services may later expand to include additional digital products, subscriptions, study materials, premium content, productivity tools, legal learning resources, review resources, community features, or related services.
We reserve the right to modify, update, suspend, discontinue, expand, or limit any part of the Services at any time, subject to applicable law and any paid access period or express commitment already granted.
3. Eligibility
By using the Services, you represent and warrant that:
- you have the legal capacity to enter into binding agreements, or you are using the Services with the consent and supervision of a legally authorized parent, guardian, or representative;
- all information you provide is true, accurate, current, and complete;
- you will keep your information updated as necessary;
- your use of the Services will comply with these Terms and all applicable laws, regulations, and third-party rights.
We may refuse registration, deny access, suspend an account, or terminate access if these requirements are not met.
4. Account Registration and Security
Certain parts of the Services require registration, login credentials, or account creation.
You are responsible for:
- maintaining the confidentiality of your username, password, and access credentials;
- restricting access to your account and devices;
- ensuring that all use of your account is authorized by you;
- notifying us promptly of any unauthorized access, suspected misuse, or security breach involving your account.
You agree not to share your account, credentials, protected pages, downloads, or paid access with any other person unless we expressly authorize it in writing. We may implement reasonable security measures such as login limits, session controls, activity monitoring, download controls, or device restrictions to prevent abuse, fraud, or unauthorized sharing.
5. Memberships, Free Trials, and Access Levels
We may offer one or more access models, including free trials, basic accounts, paid subscriptions, premium memberships, one-time purchases, beta access, and other access levels.
A. Free Trials
Where offered, a free trial gives limited-duration access to selected parts of the Services, subject to these Terms and any specific offer terms. We may revise, shorten, extend, limit, or discontinue a free-trial offer at any time, subject to applicable law.
At the end of the trial period, access may expire, become limited, or require payment for continued use, depending on the applicable plan structure.
B. Paid Access
Paid access gives only the specific level of access described at the time of purchase, activation, or upgrade. Access is personal, limited, revocable, non-exclusive, and non-transferable.
C. Access Controls
Access to certain pages, content, downloads, features, or tools may depend on your membership level, plan, payment status, account status, or other eligibility requirements. We may update the scope, inclusion, structure, or features of any plan prospectively.
6. Purchases, Payments, Upgrades, and Renewals
We may offer payment through available channels, including manual payment methods and any payment systems we choose to support from time to time.
By purchasing or attempting to purchase any paid product, plan, renewal, or upgrade, you agree that:
- you are authorized to use the payment method you provide;
- all payment details, account details, and transaction information you submit are accurate;
- you will pay all applicable charges, fees, and taxes associated with your purchase unless stated otherwise.
A. Manual Verification Payments
For some payment methods, including but not limited to GCash, bank transfer, or similar manually verified channels, we may require payment verification before activating a paid membership, upgrade, renewal, or product access.
In such cases:
- your payment may remain subject to review;
- you may be asked to submit proof of payment, reference numbers, payer details, screenshots, or supporting information;
- access may be activated only after verification, unless we expressly state otherwise;
- we may process manual verifications within the timeframe posted on the relevant payment, upgrade, instruction, or Help Center page.
Submission of proof of payment does not automatically entitle you to approval, activation, renewal, or upgrade. We reserve the right to deny, delay, reverse, suspend, or cancel activation if payment is not reasonably verifiable or is found to be invalid, reversed, insufficient, duplicated, unauthorized, fraudulent, or inconsistent with the selected plan.
B. Incorrect, Incomplete, or Unverified Payments
If the amount paid is incorrect, incomplete, unverified, or not clearly attributable to your account, we may hold the request pending clarification, request additional proof, deny activation, or require corrective action.

C. Pricing Changes
We may change pricing, plan names, access structures, inclusions, and billing terms prospectively at any time, subject to applicable law and any express commitments already granted.
D. Upgrades from an Active Account and Proration
If you upgrade from an active paid account, plan, subscription, or access level to another paid plan, any unused portion of your existing access may be reviewed for possible adjustment, credit, extension, or proration, depending on the applicable plan, payment method, timing of upgrade, verification status, and account records.
Unless we expressly state otherwise, proration is not automatic and is not processed as an immediate direct cash refund. Users who believe they are entitled to a prorated adjustment, credit, refund, extension, or other account correction must submit their concern through the Help Center so that we can verify the active plan, payment history, upgrade timing, remaining access period, and applicable adjustment.
Important: For upgrades from an active account, we do not automatically send direct refunds. Users must proceed through the Help Center so that the account, payment, active plan, upgrade timing, and remaining access period can be reviewed.
Any approved proration may be handled, at our reasonable discretion and subject to applicable law, as a membership extension, account credit, plan adjustment, partial refund, or other equivalent correction. We may deny proration or refund requests that are unsupported, unverifiable, inconsistent with our records, outside the applicable request period, or not permitted under the relevant offer terms.

7. Digital Products and Delivery
Our Services may include digital products such as flowcharts, downloadable materials, guides, summaries, premium resources, and future digital offerings.
When you purchase or validly obtain access to a digital product, you receive only a limited right to use that product for your own lawful, personal, and internal purposes, subject to these Terms.
Digital products may be delivered by any method we designate, including:
- direct download;
- email delivery;
- account-based access;
- protected pages;
- member dashboards;
- internal content libraries;
- or similar digital delivery methods.
We do not guarantee uninterrupted availability of any specific delivery method and may use a reasonable substitute method where necessary.
8. No Transfer of Ownership
Except where expressly stated otherwise, all purchases, subscriptions, memberships, downloads, and access grants under the Services are licenses to use and do not transfer ownership of any intellectual property.
Your purchase, registration, or access does not transfer any ownership interest in the Barrister Portal, flowcharts, or any other Content, product, design, compilation, system, workflow, or platform.
9. Intellectual Property Rights
All Content made available through the Services, including the Barrister Portal, flowcharts, text, compilations, diagrams, structure, branding, logos, graphics, layouts, downloads, summaries, premium materials, features, and other proprietary content, is owned by, licensed to, or lawfully used by us and is protected by applicable intellectual property and related laws.
Except as expressly allowed by these Terms or by our prior written consent, you may not:
- copy, reproduce, republish, upload, post, encode, translate, transmit, distribute, sell, sublicense, assign, publicly display, publicly perform, scrape, extract, mirror, frame, or otherwise exploit any part of the Services or Content;
- share paid materials, protected pages, downloads, or account access with others;
- remove or alter copyright notices, authorship references, watermarks, trademarks, branding, or other proprietary notices;
- create derivative works from our materials for redistribution or commercial use;
- upload our protected materials to websites, drives, groups, marketplaces, repositories, or other online or offline channels without permission;
- use our content for resale, redistribution, repackaging, commercial study kits, competing products, or institutional redistribution without written consent.
Any unauthorized use may result in suspension, termination, takedown demands, legal action, damages claims, and any other remedies available under law or contract.
10. Copyright Protection, Copy Identification, and Anti-Redistribution
Our flowcharts and other protected digital materials are copyright protected and monitored. To help protect our intellectual property, some copies or versions may contain distinct identifiers, purchaser-linked markers, embedded metadata, access-linked records, or minor design variations that help us identify the source of a copy in the event of suspected unauthorized sharing, leakage, upload, or distribution.
Where used, such identifiers may be associated with your account information, email address, transaction records, and payment-related details, subject to our Privacy Policy and applicable law.
By purchasing, downloading, accessing, or using any flowchart or other protected material, you expressly agree that such material is licensed solely for your personal, lawful, and internal use. You further agree that you will not upload, circulate, reproduce, copy, forward, share, sell, redistribute, sublicense, publish, or otherwise make available any such material to any other person or entity, whether for free or for consideration, and regardless of purpose, without our prior written permission.
Unauthorized upload, disclosure, or distribution of our protected materials constitutes a material breach of these Terms and may also constitute copyright infringement. In addition to all other remedies available under law, equity, or contract, you agree that any unauthorized distribution or unauthorized making available of our protected materials shall entitle us to seek:
- immediate suspension or termination of your account;
- takedown demands and injunctive relief;
- recovery of damages and legal costs;
- liquidated damages in the amount of One Hundred Thousand Pesos (Php100,000.00) for each unauthorized act of distribution or unauthorized making available, without prejudice to our right to claim higher actual, temperate, exemplary, or other damages, as well as attorney’s fees and costs, where justified.
You acknowledge that this amount is agreed upon as a reasonable pre-estimate of the harm caused by unauthorized distribution, subject to applicable law.
To the fullest extent permitted by law, any civil action arising from or relating to the unauthorized use, disclosure, upload, copying, redistribution, or infringement of our protected materials shall be filed exclusively before the proper courts of Makati City, National Capital Region, Philippines, unless another venue is mandatorily required by applicable law.
11. User Conduct and Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms.
You must not:
- violate any applicable law, regulation, or third-party right;
- impersonate another person or misrepresent your identity, authority, or payment status;
- submit false proof of payment, forged screenshots, fabricated transaction references, or misleading account information;
- interfere with, disrupt, test vulnerabilities of, or gain unauthorized access to the Services or related systems;
- use bots, scrapers, crawlers, data-mining tools, or automated methods except as expressly authorized;
- upload malicious code, harmful files, or disruptive materials;
- bypass or attempt to bypass access controls, payment gates, membership restrictions, or security features;
- use the Services to harass, threaten, defame, deceive, or harm others;
- use the Services in any way that may damage our operations, users, reputation, or systems.
We may investigate suspected violations and take any action we consider appropriate, including suspension, termination, reporting, or legal action where justified.
12. User Submissions
If you submit messages, feedback, inquiries, screenshots, proof of payment, uploads, notes, files, Help Center entries, or other materials to us, you represent and warrant that:
- you have the right to submit them;
- they do not infringe the rights of any third party;
- they are not false, unlawful, misleading, or malicious.
You retain ownership of materials you lawfully submit, but you grant us a non-exclusive, royalty-free, worldwide license to receive, store, review, reproduce, and process such submissions as reasonably necessary to:
- provide the Services;
- verify payments;
- administer accounts and memberships;
- review refunds, prorations, upgrades, payment issues, or account-adjustment concerns submitted through the Help Center;
- investigate disputes or misuse;
- improve operations;
- comply with legal obligations.
13. Educational and Informational Nature of the Services
The Services are provided for educational, review, study-support, informational, and organizational purposes only. Unless expressly stated otherwise, nothing in the Services constitutes legal advice, legal representation, attorney-client advice, or a guarantee of academic, examination, professional, or career outcomes.
Your use of the Barrister Portal, flowcharts, and related materials does not guarantee that you will pass any examination or achieve any particular result. You remain responsible for verifying legal materials, consulting official sources, exercising independent judgment, and complying with all applicable academic, professional, and examination rules.
14. Availability, Maintenance, and Beta Features
We aim to keep the Services available and functional, but we do not guarantee uninterrupted access, permanent availability, or error-free operation at all times.
We may:
- update, redesign, or restructure the Services;
- add, remove, or modify features, plans, or content;
- conduct maintenance, debugging, migration, or security reviews;
- offer beta, pilot, experimental, or limited-release features;
- suspend or discontinue parts of the Services where reasonably necessary.
15. Refunds, Cancellations, Proration, and Credits
Refunds, cancellations, replacement access, reprocessing, proration, account adjustments, and credits are governed by:
- the specific offer or plan terms posted at the time of purchase;
- any separate refund, cancellation, or payment-verification policy we publish;
- mandatory rights under applicable law.
Unless we expressly state otherwise, digital access, downloadable products, protected content, and instantly accessible content may be non-refundable once access has been granted or delivery has begun, subject to applicable law.
Where payment remains unverified, reversed, unauthorized, insufficient, or fraudulent, we may deny, revoke, or suspend access without liability, subject to any non-waivable rights under law.
A. Refund and Account-Adjustment Concerns
We do not process refund, credit, proration, payment-verification, or account-adjustment concerns solely through informal messages, comments, social media replies, or unsupported claims. To allow proper review and recordkeeping, users should submit the concern through the Help Center and provide the information reasonably needed to verify the request.
A review may require the user’s account email, membership level, payment reference number, proof of payment, selected plan, upgrade date, reason for the request, and other details reasonably necessary for verification.
B. Upgrades from Active Accounts
If a user upgrades from an active account, any unused portion of the previous plan is not automatically refunded in cash. Instead, the user must proceed through the Help Center so we can verify the account, payment history, selected plans, upgrade timing, and remaining access period.
After review, we may approve an appropriate adjustment, such as account credit, access extension, plan correction, partial refund, or other reasonable resolution, subject to applicable law and the relevant offer terms.
Submitting a refund, proration, or account-adjustment concern does not guarantee approval. We reserve the right to approve, deny, or modify the requested adjustment based on payment verification, account status, the remaining access period, prior use of the Services, applicable plan rules, and our records.

16. Account Suspension and Termination
We may suspend, restrict, or terminate your access, with or without prior notice, if:
- you breach these Terms or any policy;
- your payment is invalid, reversed, unverified, insufficient, or fraudulent;
- you engage in unauthorized sharing, copying, redistribution, or misuse of content;
- your conduct creates legal, operational, security, or reputational risk;
- we are required to do so by law or competent authority.
Upon suspension or termination, your right to access the affected Services ends immediately or as otherwise stated by us.
17. Privacy and Personal Data
Your use of the Services is also governed by our Privacy Policy. By using the Services, you acknowledge that we may collect, use, store, disclose, and otherwise process personal data in accordance with our Privacy Policy and applicable law.
Personal data submitted through registration forms, payment verification channels, Help Center submissions, support messages, dashboards, account pages, or other Service-related channels may be processed for account administration, membership access, payment verification, fraud prevention, customer support, dispute review, legal compliance, and Service improvement.
18. Electronic Communications and Electronic Records
By using the Services, registering an account, or entering into transactions electronically, you consent to receive notices, policies, receipts, confirmations, acknowledgments, account updates, and other communications from us through electronic means, including email, website notices, account pages, dashboards, downloads, Help Center communications, or other digital channels.
You agree that electronic records, electronic data messages, electronic documents, and electronic contracts may be used in connection with the Services to the fullest extent permitted by law.
19. Disclaimers
To the fullest extent permitted by law, the Services and all Content are provided on an “as is” and “as available” basis.
We do not warrant that:
- the Services will always be uninterrupted, secure, timely, or error-free;
- defects will always be corrected immediately;
- the Services will meet every user’s expectations, preferences, study style, or needs;
- any study outcome, exam result, academic result, professional result, or performance level will be achieved.
Nothing in these Terms excludes rights that cannot legally be excluded.
20. Limitation of Liability
To the fullest extent permitted by law, we and our owners, officers, employees, contractors, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of, inability to use, or reliance on the Services.
Where liability cannot be fully excluded, our aggregate liability for claims arising from a specific paid transaction shall not exceed the amount actually paid by you to us for the specific product, subscription period, or service directly giving rise to the claim, unless a different standard is required by law.
21. Indemnity
You agree to defend, indemnify, and hold harmless us and our officers, directors, employees, contractors, affiliates, licensors, and service providers from and against claims, losses, damages, liabilities, costs, and expenses, including reasonable attorney’s fees, arising from or related to:
- your violation of these Terms;
- your misuse of the Services;
- your infringement of intellectual property or other rights;
- your false submissions, fraudulent payment claims, or unauthorized account use;
- your violation of applicable law.
22. Third-Party Services and Links
The Services may contain or integrate with third-party services, plugins, processors, payment channels, email platforms, analytics tools, embedded content, or external websites. We are not responsible for the availability, acts, omissions, content, policies, or practices of those third parties.
Your use of third-party services may be subject to separate terms, privacy policies, fees, and rules imposed by those third parties.
23. Help Center and Support Communications
The Help Center is the primary channel for general support, account access issues, payment concerns, refund or proration review, upgrade concerns, product guidance, FAQs, and related inquiries.

Submitting a concern through the Help Center does not automatically guarantee approval of any refund, account adjustment, access request, plan correction, or other requested action. We may require additional information and may approve, deny, or modify requests based on our records, applicable policies, and applicable law.
24. Changes to These Terms
We may update these Terms from time to time to reflect changes in:
- our products and services;
- our business model or payment methods;
- applicable law or regulatory guidance;
- operational, security, or technical needs.
When material changes are made, we may update the “Last Updated” date and provide additional notice where appropriate. Your continued use of the Services after the updated Terms become effective constitutes acceptance of the updated Terms, subject to applicable law.
25. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
26. Venue and Dispute Resolution
The parties shall first attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services.
If a dispute is not resolved informally, any action or proceeding arising out of or relating to these Terms or the Services shall be brought before the proper courts of Makati City, National Capital Region, Philippines, unless another venue is required by applicable law. This is without prejudice to the more specific venue clause in Section 10 for unauthorized distribution or infringement claims involving protected materials.
27. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
28. No Waiver
Failure by us to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.
29. Entire Agreement
These Terms, together with our Privacy Policy and any product-specific rules, notices, offer terms, refund policies, account-adjustment rules, Help Center notices, payment-verification notices, or policies expressly incorporated by reference, constitute the entire agreement between you and us regarding the Services, unless a separate written agreement applies.
These Terms should be read together with our Privacy Policy, Help Center notices, payment verification instructions, and any product-specific notices shown at the time of registration, purchase, upgrade, submission, or use.
